1. Publisher identification
Cliento (accessible at cliento.dev) is a service published by Jonathan Dhermand, sole proprietor (auto-entrepreneur) registered in Morocco, business identification number (ICE) 002487637000093.

2. Purpose
These Terms of Service and Conditions of Sale (hereinafter "TOS") govern access to and use of the Cliento platform, whether free or paid, by any natural or legal person (hereinafter "the User").
By creating an account on Cliento, the User unconditionally accepts these TOS, including for use of the free plan.
3. Service description
Cliento is a SaaS (Software as a Service) freelance project management tool with client portal. It notably includes artificial intelligence features to assist the User in managing their projects.
Third-party service components: Cliento uses third-party services for its operation, notably OpenAI for AI features. Data necessary for AI processing may be transmitted to OpenAI strictly for the purpose of providing the service. The User is informed of this and accepts it by using the relevant features.

4. Registration and user account
Access to Cliento, including the free plan, requires creating an account. The User undertakes to provide accurate information and maintain their accuracy. They are solely responsible for the confidentiality of their credentials.
Cliento reserves the right to suspend or delete any account in case of violation of these TOS or fraudulent use.
5. Pricing and billing
Prices for paid plans are indicated in euros (€) or US dollars (USD) according to the applicable currency. Subscription payments are processed by our payment providers (LemonSqueezy, Paddle), who act as Merchant of Record and handle applicable sales tax or VAT on behalf of the User, in accordance with the legislation in force in the User's country.
Billing is monthly or annual depending on the chosen plan, automatically charged via the selected payment provider on the subscription anniversary date.
6. Payment
Subscription payments are secure and processed by LemonSqueezy or Paddle, depending on the payment method selected at checkout. Cliento has no access to any banking data. Accepted payment methods are: bank card (Visa, Mastercard, American Express) and any other method supported by the selected provider.
Stripe Connect: separately, Cliento integrates Stripe Connect to allow freelance Users to receive payments directly from their own clients through the platform. This feature is distinct from the Cliento subscription itself: Cliento acts solely as a technical intermediary and never receives or holds these funds.
In case of payment failure, access to paid features may be suspended after notification by email.
7. Cancellation and refund
The User may cancel their subscription at any time from their "Subscription" area. Access to paid features remains active until the end of the already billed period.
No partial refund is granted for periods already started, except in case of major service malfunction attributable to Cliento, duly observed.
8. Right of withdrawal
In accordance with regulations applicable to digital services (notably the European directive 2011/83/EU for EU users), Users with consumer status benefit from a 14-day period from subscription to exercise their right of withdrawal, unless service execution has already begun with their express consent.

9. Service availability
Cliento undertakes to maintain the service accessible 24/7, as far as possible, except in case of planned maintenance (announced in advance by email or in-app notification) or force majeure. No guarantee of absolute availability can be granted.
10. Subcontractors and data transfers
In the context of providing the service, Cliento uses the following subcontractors, who may process personal data or user data:
- LemonSqueezy / Paddle — subscription billing (USA / EU)
- Stripe, Inc. (Connect) — payments between freelance Users and their own clients (USA)
- Vercel, Inc. — application hosting (USA)
- OpenAI, LLC — artificial intelligence features (USA)
- Neon, Inc. — PostgreSQL database (USA)
- ImageKit Ltd. — file storage and management
- Resend, Inc. — transactional email sending (USA)
These providers are mainly established in the United States. Data transfers to these countries are governed by appropriate guarantees (standard contractual clauses or equivalent). For more details, consult our Privacy Policy.
11. Personal data
Collected data is processed in accordance with the General Data Protection Regulation (GDPR, EU 2016/679) for European users, and applicable laws in other jurisdictions. They are never sold to third parties.

12. Liability
Cliento cannot be held liable for direct or indirect damages resulting from use or inability to use the service, notably in case of data loss, business interruption, or loss of earnings.
The User is solely responsible for the data they enter, share, or generate via the platform, including those transmitted to AI features.
Within the limits permitted by applicable law, Cliento's total liability is capped at the amounts paid by the User during the 3 months preceding the incident.
13. Intellectual property
The code, design, and all constituent elements of Cliento are the exclusive property of Jonathan Dhermand. Any reproduction, even partial, is prohibited without prior written authorization.
The User retains ownership of data and content they import or create on the platform. They grant Cliento a limited, non-exclusive license to process this data solely for the purpose of providing the service.
14. Acceptable use
The User undertakes not to:
- Use the service for illegal or fraudulent purposes;
- Attempt to bypass platform security measures;
- Resell or sub-license access to the service without authorization;
- Use AI features to generate illicit content.
15. Modification of TOS
Cliento reserves the right to modify these TOS at any time. Users will be notified by email at least 30 days before the entry into force of substantial modifications. Continued use of the service after this period constitutes acceptance of the new conditions.
16. Applicable law and competent jurisdiction
These TOS are governed by the law of the Kingdom of Morocco, without prejudice to mandatory provisions applicable in the User's country of residence (notably European consumer rights under GDPR and directive 2011/83/EU).
In case of dispute, the parties undertake to seek an amicable solution within 30 days. In the absence of agreement, the competent courts of Morocco will be seized, subject to mandatory jurisdiction rules applicable to the User as a consumer.
Users residing in the European Union may also use the European Commission's online dispute resolution platform: ec.europa.eu/consumers/odr.
